Acceptance of Terms

The following instrument consists of the terms and conditions governing the access to and use of Arison Creative Ltd. (“Arison” or “We“) website and the content and services therein available at: shariarison.com (the “Site”) to you (“you” or “user”). The use of the Site is subject to these terms of use. By accessing, browsing and/or using the Site, you confirm that you have read, understand, and agree to abide by the terms described herein. If you do not understand or agree to these terms, you should immediately exit this Site and avoid making any use of the Site. If you continue using this Site you accept and agree to these Terms and Conditions (the “Terms”).

These Terms are a binding agreement between you and Arison. Your use of the Site is governed by the version of the terms in effect on the date this Site is accessed by you. Title and Ownership

All the intellectual property rights evidenced by or embodied in and/or attached/connected/related to the Site are and shall be owned exclusively by Arison and/or its affiliates, including without derogation the Site design, any information, services, texts, files, various applications, graphs, pictures, audio clips, music and video clips (“Content“). These Terms do not convey to you an interest in or to the Site, but only a limited right of use revocable in accordance with the terms of these Terms. The rights granted by these Terms are limited to those expressly stated herein, and no additional rights or licenses are being granted by implication or otherwise. “Intellectual Property Rights” means worldwide (a) rights associated with works of authorship, designs and photography including copyrights; (b) trademarks, service marks, logos, trade names, trade dress and goodwill rights whether or not registered; (c) rights analogous to those set forth herein and any other proprietary rights relating to intangible property; (d) divisions, continuations, renewals, reissues and extensions of the foregoing (as applicable) now existing or hereafter filed, issued, or acquired.

The Twitter name, logo, Twitter T, Tweet, and Twitter bird are trademarks of Twitter, Inc. in the United States and other countries.

The Facebook name, logo, Facebook F, and Facebook Like button are trademarks of Facebook, Inc. in the United States and other countries.

Materials and Services Available on the Site

The Content on the Site is intended solely for the general information of the reader. You understand that you may not rely on the Content and the Site, including for purposes of taking decisions in any field. The Content should not be construed as advice. You and you alone shall bear the sole responsibility in evaluating the advantages and disadvantages embodied in using the Site. The Site does not provide medical, financial, professional or other advice. We welcome any comments regarding the Content, and about the Site, submitted by you. Any suggestions, comments or other content that you send us will become the property of Arison. We may use such content in any way we choose for as long as we choose without any restrictions, subject to the Site’s Privacy Policy in effect at the relevant time. By sending us such content, you agree that we have the right to publish or otherwise use the content in any way, including promotional and advertising purposes and that we do not owe you any compensation for using the content. You further agree that upon transmission of such content to Arison, you grant Arison and its affiliates an irrevocable, non-exclusive, royalty-free, sublicensable, worldwide license (including but not limited to a copyright license) to prepare derivative works, reproduce, display, perform, transmit and distribute such material and derivative works for any use.

Links and Third Party Content

The Site may contain links to other Internet sites and may contain content and/or advertising of third parties. Please note that many of the links provided on the Site do not refer to content found on our servers and are not maintained by us or affiliated with any services provided by us. Links are provided only as an informational resource, simply as a service and only for your convenience. It is hereby clarified that the Site is not responsible for such links and/or content. Should you leave the Site via a link contained herein and/or view content that is not provided by Arison, you do so at your own risk. The content to which you are exposed via links has not been developed, checked for accuracy, or otherwise reviewed by Arison, which shall not be responsible for damages or losses caused by any delays, defects or omissions that may exist in the services, information or other content provided on such sites, whether actual, alleged, consequential or punitive. Arison makes no guarantees or representations as to, does not endorse and shall have no liability for, any content delivered by any third party, including, without limitation, the accuracy, subject matter, quality or timeliness of any such content. Inasmuch as you are redirected to linked sites and content, we recommend you be aware and cautious, to carefully read and abide by the terms of use and privacy policies of such sites and content, and to also verify that the site is indeed suitable for your age and/or your patterns of use on Internet sites.

In the event that any part of the Content infringes upon Intellectual Property Rights, is deemed by you as being offensive or harmful and/or violates your right to privacy you may notify Arison at the following email address: info@shariarison.com. Complaints which are substantiated may result in the removal of said content.

Termination

We may terminate these Terms and/or suspend your right to access or use any portion or the entire Site immediately without any cause upon written notice. Upon termination you shall immediately cease using the Site and the following Sections shall survive: 2, 4, 9-12.

Limitations on Use

The Site must be used and maintained in strict compliance with the instruction and safety precautions of Arison contained herein. You undertake to use the Site solely for private and personal use. You are solely responsible for obtaining, paying for, repairing and maintaining all the equipment, software, hardware and services required for getting access to the Site. Except as specifically permitted herein, you agree not to (i) sell, license (or sub-license), lease, assign, transfer, pledge, or share any of your rights under these Terms with/to anyone else; (ii) transfer, distribute, copy all or any part of the Site; (iii) refer to the Site by use of framing and/or deep-linking; (iv) make use of the Site or distribute any part thereof in any jurisdiction where same are illegal or which would subject Arison or its affiliates to any registration requirement within such jurisdiction or country; (v) use, or encourage, promote, facilitate or instruct others to use, the Site for any illegal, harmful or offensive use; (vi) transmit any viruses or other harmful, infringing, illegal, disruptive or destructive content, messages or files; (vii) You agree not to visit the Site through unauthorized means; (viii) distribute, publish, send, or facilitate the sending of unsolicited mass messages, promotions, advertising, or solicitations (like “spam”), including commercial advertising and informational announcements; (ix) distribute, publish, send, or facilitate the sending of any illegal content or content which infringes intellectual property rights of third parties or their right for privacy.

Indemnity

You agree to indemnify, defend and hold harmless Arison, its officers, directors, employees, stockholders, affiliates, agents and suppliers from and against any and all claims, liabilities, damages, losses or expenses, including but not limited to attorneys’ fees and costs, arising out of or in any way connected with the Site, your use thereof and/or breach of these Terms.

Miscellaneous

Change of Terms. Arison reserves the right to periodically alter the Terms of the Site, at its sole discretion.
Waiver. The failure of Arison to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Arison.
Claims. YOU AND ARISON AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE ARISON SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
Severability. If any provision of these terms of use is held to be unlawful, void or for any reason unenforceable, then the provision will be limited or eliminated from these Terms, to the minimum extent  necessary and will not affect the validity and enforceability of the remaining provisions.
Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Arison without restriction. Any assignment attempted to be made in violation of this Terms shall be void.
Headings. The headings references herein are for convenience purposes only, they do not constitute a part of these Terms and will not be deemed to limit or affect any of the provisions hereof.
Entire Agreement. This and the Privacy Policy attached hereto are the entire agreement between you and Arison relating to the subject matter herein and will not be modified except in writing, signed by both parties, or by making a change in these Terms by Arison, as set forth herein.
Applicable Law and Jurisdiction. These terms are governed by and the laws of the State of Israel, without regard to the conflict of laws provisions thereof. The exclusive jurisdiction and venue of any action with respect to these Terms shall be the competent courts of Tel Aviv – Jaffa and Arison and you hereby submit to the exclusive jurisdiction and venue of such courts for the purpose of any such action.
